1. THIS IS YOUR CONTRACT WITH US

This User Agreement is a contract that governs the terms and conditions under which You may access and use:

  • Telegiro, Inc.'s website (www.telegiro.com) and Telegiro, Inc.'s mobile application (collectively, the "Site")
  • The Telegiro digital wallet and banking services (the "Digital Wallet Services")
  • The Telegiro on-line and mobile money transfer services (the "Remittance Services")
  • All services collectively referred to as the "Services"

 

The User Agreement is made between Telegiro, Inc. and You. It applies to all methods of access (website or application) that You choose. It begins when You complete Your registration for the Services (the "Effective Date") and continues until it is terminated by You or Us.

 

IMPORTANT: Your use of Digital Wallet Services is also governed by additional terms. When You use Digital Wallet Services powered by Checkbook Inc., You must also agree to the Checkbook Terms & Conditions for Businesses, which are incorporated by reference and can be found at the end of this Agreement as Appendix A. Both this User Agreement and the Checkbook Terms & Conditions apply to Your use of Digital Wallet Services.

 

Please read this User Agreement and keep it for Your records. By visiting, accessing, registering with or using the Site or by using the Services, You agree to be bound by the terms and conditions of this User Agreement.

 

DO NOT USE THE SERVICES IF YOU DO NOT AGREE TO BE BOUND BY THIS USER AGREEMENT. IN THAT CASE, YOU MUST EXIT THE WEBSITE OR UNINSTALL THE MOBILE APPLICATION FROM YOUR DEVICE, AND NOT ACCESS THE SERVICES THROUGH ANY OTHER PLATFORM OR MECHANISM.

2. SOME IMPORTANT DEFINITIONS

Throughout this User Agreement, "We" (and "Us" and "Our") refer to (and only to) Telegiro, Inc., a Delaware corporation, and "You" (and "Your") refer only to the particular user of the Services who is visiting, accessing, registering or using the Site or otherwise using the Services.

 

In addition, these terms have the following meanings:

 

"Account" means Your Telegiro account, including both digital wallet and remittance capabilities.

 

"Bank Account" means the FBO (For Benefit Of) bank account established for You through our banking partner.

 

"Checkbook Services" means the digital payment platform services provided by Checkbook Inc., our payment service provider.

 

"Checkbook Terms" means the Terms & Conditions for Businesses set forth in Appendix A of this Agreement, which govern Your use of Digital Wallet Services powered by Checkbook.

 

"Destination Country" means the country in which the Recipient receives money through the Remittance Services.

 

"Digital Wallet Services" means the digital wallet functionality, including but not limited to: account management, domestic payments, check processing, ACH transfers, and related banking services provided through our banking partners.

 

"Enhanced Wallet" means premium digital wallet services with additional features and capabilities.

 

"FBO Account" means a "For Benefit Of" account held at our partner bank for Your benefit.

 

"Payment Service Provider" or "PSP" means a business that collects, analyzes and relays information generated in connection with payments to facilitate payment processing through various networks. In this Agreement, Checkbook Inc. serves as the PSP for Digital Wallet Services.

 

"Plaid Services" means bank account verification and financial data connectivity services provided by Plaid Inc., which enable secure linking of external bank accounts to Your TeleGiro wallet and verification of account ownership and balances.

 

"Cash Transaction Services" means cash-in and cash-out transaction services provided through participating ATM terminals operated by our ATM network partners.

 

"Cash-In Transaction" means a transaction in which You deposit cash at a participating ATM terminal to add funds to Your TeleGiro account.

 

"Cash-Out Transaction" means a transaction in which You withdraw cash from Your TeleGiro account at a participating ATM terminal.

 

"Financial Services Provider" or "FSP" means a business/institution that conducts payment settlement operations, typically a licensed financial institution.

 

"Malicious Code" means computer viruses, trojans, software locks, drop-dead devices, malicious logic or trap door, worms, time bombs, corrupted files or other computer program routines that are intended to delete, disable, deactivate, damage, detrimentally interfere with, surreptitiously intercept or expropriate any systems, data, personal information or property of another.

 

"Money Services Business" or "MSB" means a business that transmits money or monetary value, as defined by the U.S. Department of Treasury. Telegiro is registered as an MSB with FinCEN for its Remittance Services.

 

"Network" means any payment settlement network that governs payment processing, including but not limited to, the ACH network, Fedwire®, Check21 network, The Clearing House, and VISA/Mastercard Network.

 

"Payout Agent" means the financial institution in the Destination Country that will be paying out the Total to Recipient to the Recipient.

 

"Personal Data" means any information relating to an identified or identifiable individual as defined by applicable privacy laws.

 

"Prohibited Purpose" means any unlawful purpose (whether such illegality arises in the country from which the funds are transferred or in the country where they are intended to be received, or in any territory with jurisdiction over the Sender or the Recipient) including, without limitation, the transfer or receipt of payment for illegal activities, the transfer of funds which constitute proceeds of crime or money laundering or which are obtained by illegal activity, the transfer of funds for the purpose of funding illegal activity, the transfer of funds for the purpose of avoiding the seizure of such funds by law enforcement authorities or under orders of any court of law, and any transfer of funds without the permission of their owner.

 

"Recipient" means someone who receives money through the Remittance Services.

 

"Remittance Services" means the international money transfer services for sending funds to recipients in other countries.

 

"Sender" means someone who uses the Remittance Services to send money.

 

"Service Provider" means a local bank, money exchange house, or other third-party service providers in a Destination Country with whom We work in providing the Remittance Services.

 

"Total To Recipient" means the amount that is paid out to the Recipient, after any foreign exchange conversion, and excluding foreign taxes and any third-party fees charged within the Destination Country.

 

"Transaction" means any instruction processed through the Services, including remittances, domestic payments, check processing, or other financial transactions.

 

"Transfer Amount" means the amount of money that a Sender gives Us to send to the Recipient; it excludes the Transfer Fees and is calculated prior to any foreign exchange conversion.

 

"Transfer Fee" means the fee that We charge to process a Transaction.

3. OVERVIEW OF SERVICES

a. Digital Wallet Services

We provide comprehensive digital wallet services through our partnership with Checkbook Inc., a Payment Service Provider (PSP). These services enable You to:

  • Maintain an FBO bank account through our banking partners
  • Send and receive domestic payments via ACH, checks, and electronic transfers
  • Link external bank accounts through Plaid for account verification and funding
  • Access cash-in and cash-out services at participating ATM terminals
  • Access enhanced wallet features for premium account management
  • Process various payment types including mailed checks, printed checks, same-day ACH, and real-time payments
  • Manage Your financial transactions through our secure platform

 

Your use of Digital Wallet Services is subject to both this User Agreement and the Checkbook Terms & Conditions set forth in Appendix A.

 

b. Bank Account Linking Services

Through our partnership with Plaid Inc., We enable You to securely link external bank accounts to Your TeleGiro wallet. This service allows You to:

  • Verify ownership of external bank accounts
  • Check account balances in real-time
  • Fund Your TeleGiro wallet via ACH transfer
  • Enable payment processing from linked accounts

 

By linking an external bank account, You provide express consent for TeleGiro and Plaid to access Your bank account information, including account balances, transaction history, and account details. You may revoke this consent at any time, though doing so may limit Your ability to use certain services. Plaid's privacy policy governs their use of Your information and is available at https://plaid.com/legal/#end-user-privacy-policy

 

c. Cash Transaction Services

Through our ATM network partners, We provide cash-in and cash-out services at participating ATM terminals. These services enable You to:

  • Deposit cash directly into Your TeleGiro wallet (Cash-In Transactions)
  • Withdraw cash from Your TeleGiro wallet (Cash-Out Transactions)
  • Access Your funds through a network of ATM terminals
  • Receive receipts for all cash transactions

 

Cash Transaction Services are subject to applicable network operating rules, including:

  • Cash-In Transaction limit: $500 per transaction
  • Cash-Out Transaction limit: $400 per transaction
  • Accepted currency: U.S. dollars in denominations of $1, $2, $5, $10, $20, $50, and $100
  • Funds availability policies as required by Regulation CC

 

d. Remittance Services

As a licensed Money Services Business (MSB), We provide international money transfer services to enable You to transfer money to Recipients located in other countries. These services are provided under our money transmission licenses and federal MSB registration.

 

e. Accessing the Services

The Services are available through the internet by accessing Our website, www.telegiro.com, and via mobile devices by downloading Our mobile application. For Apple devices You may download Our mobile application from the Apple App Store. For Android-powered devices You may download Our mobile application from the Google Play Store.

 

Cash Transaction Services are available at participating ATM terminals. You can locate participating terminals through Our mobile application or website.

 

If You access the Services through a mobile device, Your wireless service carrier may bill You for additional charges, such as fees for SMS and data services.

 

f. Our Role in Payment Services

We operate under two distinct regulatory frameworks:

 

For Remittance Services: We are a licensed Money Services Business (MSB) and money transmitter, authorized to handle and transmit funds internationally. We hold money transmission licenses in Florida and New Jersey and are registered with FinCEN as an MSB.

 

For Digital Wallet Services: We partner with Checkbook Inc., which acts as the Payment Service Provider (PSP) for these services. Checkbook is not a bank, money transmitter, or MSB, but rather a PSP that works with licensed financial institutions to facilitate payments. Through this partnership, We offer digital wallet functionality without directly handling or transmitting the funds ourselves.

 

For Bank Account Linking: We partner with Plaid Inc. to provide secure bank account verification and connectivity services. Plaid accesses Your bank account information only with Your express consent and in accordance with applicable laws.

 

For Cash Transaction Services: We partner with licensed ATM network operators to provide cash-in and cash-out services. Cash transactions are processed according to applicable network operating rules and ATM transaction regulations.

 

When Checkbook acts as Your agent in collecting payments and funds from payors, We will inform You when funds have been collected and You agree to credit the payors' accounts at the time We provide such confirmation.

 

g. For Personal Use Only

The Services are limited to personal, non-commercial use. We do not allow money transfers to or from business entities without explicit authorization.

 

If We discover that You are using the Services for commercial purposes without authorization, We may, in Our sole discretion, cancel Your Transactions and close Your account.

 

h. Licensed and Regulated Services

Our Remittance Services: We are a licensed Money Services Business (MSB) and money transmitter. Our money transmission services are provided under:

  • Florida Office of Financial Regulation License (License Number: FT230000431)
  • New Jersey Department of Banking and Insurance License (License Number: 2305779)
  • Federal registration with FinCEN as a Money Services Business (MSB)

 

Our Digital Wallet Services: These services are provided through our partnership with Checkbook Inc., which operates as a Payment Service Provider (PSP). Checkbook partners with FDIC-insured financial institutions and other regulated payment service providers to offer these services. Checkbook is not a bank, money transmitter, or MSB.

 

Our Bank Account Linking Services: These services are provided through our partnership with Plaid Inc., which operates as a financial data connectivity provider and is not a bank, money transmitter, or MSB.

 

Our Cash Transaction Services: These services are provided through partnerships with licensed ATM network operators who are properly licensed and authorized to provide ATM cash services.

4. ELIGIBILITY AND REGISTRATION

a. Eligibility

You must be at least eighteen (18) years old to create a Telegiro account and to access and use the Services. You must be able to form legally binding contracts under applicable law.

 

IMPORTANT RESIDENCY REQUIREMENT: You must be a resident of either Florida or New Jersey to use our Services. We are currently licensed as a Money Services Business only in these two states:

  • Florida (License Number: FT230000431)
  • New Jersey (License Number: 2305779)

 

We cannot provide Services to residents of other states at this time. By creating an account, You represent and warrant that You are a bona fide resident of either Florida or New Jersey.

 

b. Registration

You must register with Us to use the Services by creating a Telegiro account. Your account consists of the information entered or collected in the course of signing up for the Services and any information You subsequently add or update.

 

c. Information Required

To create an account, You must submit certain information, including Your name, email address, text-enabled mobile telephone number, street address and zip code. For Digital Wallet Services, You must also provide account information for at least one verified U.S. bank account.

 

In connection with Your account or specific Transactions, We may require You to provide Your date of birth, social security number, Your occupation, the source of funds, the reason for transactions, and government-issued identification.

 

Businesses must provide additional information including street address, telephone number, tax identification number, and for principals: social security number, date of birth, and other identifying information.

 

d. Username and Password

The email address You provide during registration will serve as Your username. You must create a password following our Password Guidelines:

  • Must be at least 8 characters in length
  • Must contain at least 1 uppercase letter, 1 lowercase letter, 1 number, and 1 special character
  • You acknowledge that Your password has the same effect as Your written signature
  • You assume complete responsibility for the supervision, management, control and confidentiality of Your password
  • You will not share Your password with any other person
  • You will not use another person's password

 

YOUR PASSWORD IS HIGHLY CONFIDENTIAL. DO NOT SHARE WITH ANY OTHER PERSON. If You give your password to another person, You will be deemed to have authorized that person to use Your password for any and all purposes, and You will assume the entire risk for fraudulent or unintentional use.

e. Verification and Inquiries

You authorize Us, directly or through third parties, to make any inquiries We consider necessary to validate and authenticate Your identity and account information. This may include:

  • Requesting further information and documentation about Your account usage and identity
  • Requiring You to confirm ownership of Your email address, mobile telephone number, or financial instruments
  • Verifying Your information against third party databases or through other sources
  • Requesting credit reports that contain Your name and address

 

For Digital Wallet Services powered by Checkbook, additional verification requirements may apply as set forth in the Checkbook Terms (Appendix A).

 

 

 

5. DIGITAL WALLET SERVICES

a. Account Features

Your Digital Wallet Account includes:

  • An FBO bank account held at our partner financial institution for Your benefit
  • Ability to send and receive domestic payments
  • Check processing and mailing services
  • ACH transfer capabilities
  • Real-time payment options
  • Enhanced wallet features (optional premium service)

 

All Digital Wallet Services are provided through our partnership with Checkbook Inc. and are subject to the Checkbook Terms & Conditions set forth in Appendix A.

 

b. Account Security

You are fully responsible for maintaining the security of Your Account access credentials. You are responsible for all use of or actions taken using Your Account access credentials, including actions taken by persons to whom You have granted access.

 

If You become aware of any unauthorized use of Your password or Account, You must notify Us immediately.

 

c. Payment Authorization

By using Digital Wallet Services, You authorize Checkbook (as the Payment Service Provider) and its Financial Services Providers to:

  • Hold, receive, disburse and settle funds on Your behalf
  • Generate paper drafts or electronic funds transfers to process each payment transaction You authorize
  • Initiate electronic Network entries to bank accounts for which You provide routing and account numbers
  • Initiate adjustments for any transactions credited or debited in error

 

Your authorization remains in effect until You notify Us that You revoke it by contacting Customer Support or closing Your Account. We require reasonable time to act on revocation, not to exceed five business days.

 

d. Enhanced Wallet Services

Enhanced Wallet services include premium features and are subject to additional monthly fees. Enhanced Wallet features may include:

  • Advanced account management tools
  • Priority customer support
  • Additional transaction limits
  • Wire transfer capabilities
  • Premium reporting and analytics

 

e. Checkbook Terms Apply

Your use of Digital Wallet Services is governed by both this User Agreement and the Checkbook Terms & Conditions for Businesses set forth in Appendix A. In the event of any conflict between this User Agreement and the Checkbook Terms with respect to Digital Wallet Services, the Checkbook Terms shall prevail.

5A. CASH TRANSACTION SERVICES

a. Service Description

Through our ATM network partners, You may conduct cash-in and cash-out transactions at participating ATM terminals. These services are governed by applicable network operating rules in addition to this User Agreement.

 

b. Cash-In Transactions

Deposits: You may deposit cash into Your TeleGiro wallet at participating ATM terminals.

 

Transaction Limits:

  • Maximum per transaction: $500
  • Daily transaction limit: $2,500
  • Accepted denominations: $1, $2, $5, $10, $20, $50, and $100 U.S. currency
  • Ineligible items: torn bills, foreign currency, counterfeit currency, and bills not readable by the terminal

 

Funds Availability: Funds from cash-in transactions may not be immediately available. Availability is determined by Our funds availability policy and Regulation CC. A notice regarding funds availability will be displayed at participating terminals.

 

c. Cash-Out Transactions

Withdrawals: You may withdraw cash from Your TeleGiro wallet at participating ATM terminals.

 

Transaction Limits:

  • Maximum per transaction: $400
  • Daily transaction limit:  $1,000
  • Sufficient balance must be available in Your account

 

Authorization: Each cash-out transaction requires Your authentication and authorization.

 

d. Fees

Cash transaction fees will be disclosed at the terminal before You complete the transaction. Fees may vary by terminal location and are in addition to any other applicable account fees.

 

e. Receipts

You will receive a receipt for each cash transaction, either printed at the terminal or electronically delivered to Your account. Receipts include:

  • Transaction date and time
  • Transaction amount
  • Transaction type (cash-in or cash-out)
  • Terminal location
  • Applicable fees
  • Confirmation number

 

IMPORTANT: Retain Your receipts for Your records and for resolving any disputes.

 

f. Disputes and Error Resolution

If You believe a cash transaction contains an error, You must notify Us immediately at (323) 546-9392. We will investigate in accordance with Our error resolution procedures. You should retain Your transaction receipt when reporting errors.

 

Dispute Timeframes:

  • Report cash transaction errors within 60 days of the transaction date
  • We will investigate and respond within 90 days of receiving Your dispute

 

g. Liability for Cash Transactions

ATM network operators are responsible for the operation and maintenance of ATM terminals. We are not liable for:

  • Terminal malfunctions or unavailability
  • Inaccurate bill counting by terminals (except due to Our failure to exercise ordinary care)
  • Third-party fees charged by terminal operators
  • Cash shortages at terminals

 

h. Network Operating Rules

Cash Transaction Services are subject to applicable network operating rules, which may be modified from time to time. We will provide notice of material changes to these rules as they affect Your use of the services. We reserve the right to modify these limits at any time for security, fraud prevention, or risk management purposes. We will notify you of material changes to transaction limits.

5B. BANK ACCOUNT LINKING SERVICES

a. Service Description

Through our partnership with Plaid Inc., You may securely link external bank accounts to Your TeleGiro wallet for verification and funding purposes.

 

b. Express Consent Required

Before linking a bank account, You must provide express consent for:

  • TeleGiro and Plaid to access Your bank account information
  • Retrieval of account balances, transaction history, and account details
  • Use of this information to verify Your identity and facilitate transactions
  • Sharing of this information as necessary to provide Our services

 

You acknowledge that this consent applies to all bank accounts You choose to link to Your TeleGiro wallet.

 

c. Information Accessed

When You link a bank account through Plaid, the following information may be accessed:

  • Account holder name and contact information
  • Account numbers and routing numbers
  • Account balances and available funds
  • Transaction history
  • Account type and status

 

d. Use of Bank Account Information

We use Your linked bank account information to:

  • Verify account ownership
  • Confirm sufficient funds for transactions
  • Process ACH transfers to and from Your TeleGiro wallet
  • Detect and prevent fraud
  • Comply with legal and regulatory requirements

 

e. Plaid Privacy Policy

Plaid's use of Your bank account information is governed by their privacy policy, available at https://plaid.com/legal/#end-user-privacy-policy. We recommend You review Plaid's privacy policy before linking Your bank account.

 

f. Security

Bank account linking uses secure, encrypted connections. Plaid does not store Your bank login credentials. Account access is maintained through secure API connections with Your financial institution.

 

g. Revoking Consent

You may revoke Your consent and disconnect linked bank accounts at any time by:

  • Using Your account settings in Our mobile app or website
  • Contacting Customer Support at (323) 546-9392
  • Emailing privacy@telegiro.com

 

IMPORTANT: Revoking consent will disconnect Your linked bank accounts and may limit Your ability to:

  • Fund Your TeleGiro wallet via ACH
  • Verify account balances
  • Use certain payment features

 

h. Third-Party Access

You acknowledge that Plaid, as Our service provider, will have access to Your bank account information in order to provide the linking services. Plaid may also share information with Your financial institution as necessary to maintain the connection.

 

i. No Financial Institution Partnership

Neither TeleGiro nor Plaid suggests or implies a partnership, sponsorship, or other relationship with Your financial institution based on Your use of bank account linking services.

 

j. Liability

We are not responsible for:

  • Accuracy of information provided by Your financial institution
  • Availability or performance of Your financial institution's systems
  • Changes to Your bank account that You do not report to Us
  • Fees charged by Your financial institution for account access or ACH transactions

6. PAYMENT PROCESSING AND TRANSACTIONS

a. Transaction Processing

Upon release of transaction information by Us or Checkbook, a payor will be debited or charged, unless the payor has already initiated the funds transfer. You agree that the payor's obligation to the recipient is treated as paid after processing has been initiated and the transaction enters "Completed" status.

 

After initiation of processing, You agree not to attempt to collect or otherwise seek payment from the payor, as the payor's obligation has been conclusively discharged. Transactions may stay in "Pending" state before "Completed" if We are reviewing for risk purposes.

 

b. Transaction Limits

We reserve the right to limit or restrict transaction size or volume at any time. If You would like to increase limits, please contact Customer Support.

 

c. Network Rules and Compliance

You agree to be bound by all applicable Network Rules and acknowledge that all Network transactions You initiate will comply with applicable law. You expressly acknowledge and agree that You are assuming the risk of non-compliance with Operating Regulations.

 

d. Disputes and Chargebacks

Transactions may be disputed by payors up to the number of days stipulated in applicable Network regulations from the date the transaction appears in the payor's bank account. Disputes resolved in favor of the payor may result in reversal of the disputed transaction.

 

The full amount of a payment may be charged back to You if:

  • It is disputed by a payor
  • It is reversed for any reason
  • It was not authorized or We have reason to believe it was not authorized
  • It is unlawful, suspicious, or in violation of these terms

 

You will immediately pay Us the amount of any chargeback and associated fees, fines, and penalties.

 

For Digital Wallet Services, additional chargeback procedures and fees apply as set forth in the Checkbook Terms (Appendix A).

7. REMITTANCE SERVICES

a. Initiating International Transfers

To start an international transfer, You must log in to Your account and provide:

  • Transfer Amount and Destination Country
  • Payout Agent selection
  • Whether You want pickup or account deposit
  • For account deposits: account number and exact name on bank account
  • Payment method for Transfer Amount and Transfer Fee

 

b. Recipient Information

You must provide the Recipient's full legal name, address, country, and telephone number (if available). Depending on circumstances including transaction amount and delivery method, We may require additional recipient information including address, telephone number, and copy of government-issued identification.

 

c. Exchange Rates

If the transaction is paid in a currency other than US Dollars, a retail exchange rate will be applied. We retain the difference between the currency exchange rate with which We buy the currency and the rate We use to convert the Transfer Amount into the Total to Recipient.

 

The exchange rate quoted when You initiate the transaction will be locked-in for a limited time. If You pay outside this time period, the rate may change and You will need to confirm a new exchange rate.

 

d. Delivery Schedule

After We verify Your identity, receive proper payment authorization, and complete compliance screening, the transaction is made available to the Recipient on or before the date indicated on the receipt for either in-person pickup or deposit into the Recipient's bank account.

 

e. Receipt and Confirmation

Once We accept a transaction, We will send You a receipt as required by Florida and New Jersey law. The receipt will include:

  • Our name, address, and telephone number
  • The Transfer Amount
  • All fees charged for the transaction
  • The Total to Recipient after any exchange rate conversion
  • The exchange rate used (if applicable)
  • The date and time of the transaction
  • The name of the Recipient
  • For in-person pickup: a confidential confirmation number that You must send to the Recipient
  • A statement of Your refund rights
  • Our customer service contact information

8. FEES AND PRICING

FEE DISCLOSURE: All fees will be disclosed to You before You authorize any transaction. You have the right to cancel any transaction before authorization without charge.

 

a. Digital Wallet Services Fees

Digital Wallet Services fees may include:

  • Monthly platform fees
  • Per-transaction fees based on payment type
  • Enhanced wallet monthly fees (for premium services)
  • Wire transfer fees
  • Exception processing fees (returns, chargebacks, stop payments)

 

b. Remittance Services Fees

We charge Transfer Fees on international money transfers, which You pay in addition to the Transfer Amount. Both are due when You initiate Your transaction.

 

Fee Disclosure Requirements:

  • All fees will be clearly shown before You confirm Your transaction
  • You will see the exact amount the Recipient will receive
  • Exchange rates and any margin will be disclosed
  • No hidden fees - the total cost to You will be clear

 

Transfer Fees do not include fees that Your bank or the Recipient's bank may charge.

 

c. Cash Transaction Services Fees

We charge fees for cash-in and cash-out transactions at participating ATM terminals:

  • Cash-In Transaction fees: $3.50
  • Cash-Out Transaction fees: $3.50
  • Fees may vary by terminal location and operator

 

Fee Disclosure: All cash transaction fees will be clearly displayed at the ATM terminal before You complete Your transaction. You have the right to cancel the transaction before final authorization without charge.

 

Additional fees may be charged by terminal operators. These fees will be disclosed at the terminal.

 

d. Bank Account Linking Fees

There is no fee charged by TeleGiro for linking external bank accounts through Plaid. However, Your financial institution may charge fees for ACH transfers or account access. Contact Your financial institution for information about their fees.

 

e. Additional Charges

Some states may assess taxes on Your transactions. The Recipient may receive less due to taxes and additional third-party fees charged within the Destination Country. We will disclose any fees We are aware of, but there may be costs We cannot control, such as:

  • Bank charges by the Recipient's bank
  • Fees from Your bank or debit card provider
  • Mobile service provider charges
  • Foreign taxes or fees

 

f. Payment Methods

By Debit Card: You may use a valid debit card issued by a US-based bank or financial institution bearing the Visa or MasterCard logo. You may not use prepaid debit cards or gift cards. By selecting debit card payment, You authorize Us to charge Your debit card for the Transfer Amount, Transfer Fee, and applicable charges.

 

From Bank Account: You may fund transactions directly from Your verified US bank account or Your FBO account maintained through our services.

 

IMPORTANT: Once You authorize a transaction, You cannot change the payment method.

9. PROHIBITED ACTIVITIES

You acknowledge and agree that You will not use the Services in connection with:

 

a. General Prohibited Activities

  • Adult content and services (pornography, obscene materials, prostitution, escort services, massage parlors, or sexually explicit services)
  • Illegal or regulated substances (drugs, alcohol, drug paraphernalia, medical marijuana, or related items)
  • Financial crimes (bail bonds, bankruptcy payments, dishonored checks, uncollectible items, counterfeit goods, unlawful debt collection, pyramid schemes, Ponzi schemes)
  • Illegal gambling and betting (lottery tickets, casino chips, off-track betting, race wagers)
  • Violence and hate (content or services that promote hate, violence, racial intolerance, or financial exploitation of crime)
  • Illegal or harmful activities (unlawful products or services, activities encouraging violence or self-harm, instructions for harmful or illegal acts)
  • Weapons (firearms, ammunition, weapon replicas, or related items)
  • Unauthorized pharmaceuticals (internet pharmacies or pharmacy referral services)

 

b. Service-Specific Restrictions

  • Competing with Telegiro
  • Transferring funds between bank accounts held in the same name (without authorization)
  • Commercial use without explicit authorization
  • Transactions to or from Cuba (directly or indirectly)

 

c. Technical Restrictions

  • Tampering, hacking, modifying, overloading, or corrupting security or functionality
  • Infecting systems with Malicious Code
  • Copying or monitoring Our systems using robots, spiders, or other automatic devices
  • Using anonymizing proxies or software browsers to mask or conceal IP addresses
  • Submitting transactions on behalf of another person without authorization
  • Opening multiple accounts (one account per user)

 

Additional prohibited activities for Digital Wallet Services are set forth in the Checkbook Terms (Appendix A).

10. ACCOUNT MANAGEMENT AND FUNDS

a. Security of Your Funds

Protection Under State Law: As required by Florida and New Jersey money transmitter laws, We maintain:

  • Surety bonds in amounts required by each state
  • Permissible investments equal to our outstanding transmission obligations
  • Segregated accounts for customer funds
  • Regular audits and examinations by state regulators

 

Your funds are protected from the moment We receive them until they are delivered to Your designated Recipient or returned to You.

 

b. Set-Off and Collection Rights

To the extent permitted by law, We may set off any obligation You owe Us against any credit in Your Account or amounts due to You. All fees are deducted first from transferred or collected funds and thereafter from Your Account.

 

If You do not have sufficient funds, We may collect from any funding source associated with Your Account, including funds deposited by You, due to You under this Agreement, or available in Your bank account or other payment instruments registered with Us.

 

c. Reserve Requirements

We may require You to maintain a certain balance in Your Account ("Reserve") to secure performance of Your payment obligations. The decision to require and the amount of the Reserve is made at Our sole discretion.

 

You grant Us a security interest in and lien on all funds held in the Reserve, and authorize Us to make withdrawals and debits from the Reserve without prior notice. You will execute additional documentation required for Us to perfect Our security interest in the Reserve.

 

d. Payout Schedule

We will transfer funds to Your bank account according to the typical schedule applicable to the specific Network used, but no more than 30 days after funds settle, subject to any Reserve requirements.

 

Settlements may be limited or delayed based on perceived risk and history. We may defer payout or restrict access to funds during investigations, to resolve pending disputes, as required by law or court order, or if requested by law enforcement.

 

e. Dormant Accounts

If there is no activity in Your Account (including access and payment transactions) for 24 weeks or more, We reserve the right to close Your Account. Any remaining funds will be handled in accordance with applicable state unclaimed property laws.

 

For Digital Wallet Services, additional account management terms apply as set forth in the Checkbook Terms (Appendix A).

11. CANCELLATION AND REFUNDS

a. Cancellation Rights

Florida and New Jersey Law: You have the right to cancel Your money transmission transaction and receive a full refund of all moneys paid (including Transfer Amount and Transfer Fees) if:

  • The money has not yet been transmitted to the Recipient
  • The money has not been picked up by the Recipient
  • The money has not been deposited into the Recipient's account

 

To cancel, You must contact Us immediately at (323) 546-9392 with Your transaction reference number.

 

b. Refund Policy

We will process Your refund within ten (10) business days of receiving Your valid cancellation request. Refunds will be issued:

  • To the original payment method when possible
  • By check mailed to Your address on file if the original payment method is unavailable
  • In U.S. dollars at the exchange rate used for the original transaction

 

c. When Refunds Are Not Available

We cannot provide a refund if:

  • The funds have already been paid to the Recipient
  • You cannot provide valid transaction information
  • The request is made for fraudulent purposes

 

d. Refund Requirements for Digital Wallet Services

For goods or services purchased through Digital Wallet Services, You must:

  • Maintain a fair return, cancellation or adjustment policy
  • Disclose Your return or cancellation policy to payors at time of purchase
  • Not give cash refunds in connection with payments processed through Our Services unless required by law
  • Not accept cash or other items of value for preparing sale refunds through applicable Networks

12. PRIVACY AND SECURITY

a. Privacy Protection

We will protect the privacy of Your information as detailed in Our online privacy policy available at https://telegiro.com/privacy-us-consumers/. By agreeing to this User Agreement, You acknowledge and consent to Our privacy policy.

 

b. Information Sharing

You authorize Us to contact You and other individuals to make inquiries and request additional information to validate information on Our records. We may share information about You and Your transactions with our Financial Services Providers, Networks, and other partners who may use this information to perform their obligations, operate their networks, perform analytics, prevent fraud, and for other lawful purposes.

 

Specific Third-Party Service Providers:

 

Checkbook Inc. (Payment Processing Platform): We share transaction and account information necessary to process payments and maintain Your digital wallet.

 

Plaid Inc. (Bank Account Verification): When You link an external bank account, You authorize Us and Plaid to access Your bank account information, including balances, transaction history, and account details. Plaid's use of Your information is governed by their privacy policy at https://plaid.com/legal/#end-user-privacy-policy

 

ATM Network Operators (Cash Transaction Services): We share transaction information necessary to process cash-in and cash-out transactions at ATM terminals, including transaction amounts, dates, and account identifiers.

 

Banking Partners: We share information necessary to maintain Your FBO account and process banking transactions.

 

Compliance and Security Vendors: We share information as necessary to meet our regulatory obligations and maintain security standards.

 

c. Data Security

We have implemented technical and organizational measures designed to secure Your information from accidental loss and unauthorized access, use, alteration or disclosure. However, We cannot guarantee that unauthorized third parties will never defeat these measures or use Your information for improper purposes.

 

d. Record Retention

As Required by Law: We maintain records of Your transactions and account information as required by federal and state law:

  • Transaction records: 5 years from the date of transaction
  • Account records: 5 years after account closure
  • Receipts and confirmations: 5 years
  • Customer identification records: 5 years after account closure

 

You may request copies of Your transaction records by contacting Customer Support. We may charge a reasonable fee for providing copies of historical records.

 

 

13. ERROR RESOLUTION AND COMPLAINTS

 

a. Error Resolution

You have the right to dispute errors in Your transactions. If You think there is an error, You must contact Us within 180 days by telephone at (323) 546-9392 or at info@telegiro.com.

We use state-of-the-art security measures to ensure Your personal information remains secure. However, We advise You to consider very carefully before sending money to anyone You do not know well. Be very cautious of deals or offers that seem too good to be true, as they may be scams.

 

b. Fraud Prevention Guidelines

To protect Yourself from fraud:

  • Never disclose personal information unless You are completely sure of who You are communicating with
  • Do not give Your money to strangers
  • If in doubt, check it out - contact the company or organization directly using independently verified contact information
  • If You receive communication from a relative claiming to need money because they are in trouble, verify through another relative

 

c. Common Scams

Be aware of "phishing" scams designed to gain access to Your accounts or get You to send money. Be especially cautious of communications suggesting:

  • Your account has been compromised and new passwords must be entered
  • You need to pay fees or penalties or face service cut-off
  • You have won a prize but must pay tax or fee up front before collecting

 

d. Reporting Fraud

If You think You have been or might be a victim of fraud, or if You are aware of anyone using the Services inappropriately, contact Us immediately at (323) 546-9392 or info@telegiro.com, or contact Your local law enforcement.

15. REPRESENTATIONS AND WARRANTIES

 

a. Your Representations

You represent, warrant and undertake that:

  • You have full right, power, legal capacity and authority to perform Your obligations under this Agreement
  • There is no action, suit or proceeding pending or threatened that would substantially impair Your right to use the Services
  • You comply and will continue to comply with all applicable legislation, regulations and guidelines
  • You have and will maintain all necessary licenses, consents and approvals for Your use of the Services
  • You will exercise reasonable care in Your use of the Services
  • You will not infringe intellectual property rights of any person
  • You are not sanctioned by the United States and are not on any prohibited lists

 

b. Our Representations

We represent, warrant and undertake that:

  • We have full right, power, legal capacity and authority to provide the Services
  • There is no action, suit or proceeding pending or threatened that would substantially impair Our right to provide the Services
  • We comply and will continue to comply with all applicable legislation, regulations and guidelines
  • We have and will maintain all necessary licenses, consents and approvals for provision of the Services
  • We will exercise reasonable care in providing the Services
  • The Services will not infringe intellectual property rights of any person

16. INDEMNIFICATION

 

a. Your Indemnification

You will indemnify, defend and hold Us harmless from and against any and all claims, costs, losses, damages, judgments, tax assessments, penalties, interest, and expenses (including reasonable attorneys' fees) arising out of any claim that arises out of or relates to:

  • Any actual or alleged breach of Your representations, warranties, or obligations
  • Your wrongful or improper use of the Services
  • Any transaction submitted by You through the Services
  • Your violation of any third-party right, including privacy, publicity rights or intellectual property rights
  • Your gross negligence or willful misconduct
  • Your violation of any law, rule, or regulation

 

b. Our Indemnification

We will indemnify, defend and hold You harmless from and against claims arising out of:

  • Any actual or alleged breach of Our representations, warranties, or obligations
  • Our alleged violation of any third-party right
  • Our gross negligence or willful misconduct
  • Our violation of any law, rule, or regulation

 

Additional indemnification provisions for Digital Wallet Services are set forth in the Checkbook Terms (Appendix A).

17. LIMITATION OF LIABILITY

 

EXCEPT TO THE EXTENT OF OUR GROSS NEGLIGENCE, FRAUD, OR WILLFUL MISCONDUCT AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.

 

OUR LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE FEES RECEIVED BY US IN THE IMMEDIATELY PRECEDING 12 MONTHS FOR REMITTANCE SERVICES OR 6 MONTHS FOR DIGITAL WALLET SERVICES.

 

We are not liable for:

  • Failure to perform due to circumstances outside Our control
  • Malfunctions in communications facilities not under Our control
  • Losses or delays in transmission arising from internet, telecommunications, or mobile service providers
  • Errors caused by incomplete or incorrect information provided by You or third parties

 

For Digital Wallet Services provided through Checkbook, additional limitations of liability apply as set forth in the Checkbook Terms (Appendix A).

18. DISCLAIMER OF WARRANTIES

 

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

 

WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, BE UNINTERRUPTED OR SECURE, OR BE FREE OF DEFECTS, ERRORS, VIRUSES OR OTHER HARMFUL COMPONENTS.

 

Additional warranty disclaimers for Digital Wallet Services are set forth in the Checkbook Terms (Appendix A).

19. TERMINATION

 

a. Termination Rights

We may terminate this Agreement and close Your Account for any reason or no reason at any time with notice to You. We may also suspend the Services and access to Your Account if You:

  • Fail to pay fees, dues, and charges
  • Violate the terms of Our policies or this Agreement
  • Pose an unacceptable credit or fraud risk
  • Provide false, incomplete, inaccurate, or misleading information or engage in fraudulent or illegal conduct

 

b. Effect of Termination

If Your Account is terminated, You agree to:

  • Continue to be bound by this Agreement
  • Immediately stop using the Services
  • Remove all Our logos from Your website and elsewhere
  • Accept that We may delete Your information and Account data stored on Our servers (subject to applicable laws and regulations)

 

When You close Your Account, any pending transactions will be canceled. Any funds We are holding for You at closure, less applicable fees, will be paid out according to Our payout schedule, assuming all payout-related authentication requirements have been fulfilled.

 

c. Survival

Any provision reasonably necessary to accomplish or enforce the purpose of this Agreement shall survive and remain in effect upon termination.

20. CONSENT FOR ELECTRONIC DISCLOSURES

 

a. Electronic Delivery

You agree and consent to receive all communications, agreements, documents, notices and disclosures that We provide in connection with Your Account and the Services electronically.

 

b. Delivery Methods

Communications may be sent by:

  • Email to the primary email address listed in Your Account registration
  • Emailing You a link or instructions on how to access them
  • Where permitted by law, posting the communications at www.telegiro.com

 

c. Electronic Signatures

By selecting "I Agree" or similar buttons, You are signing this Agreement electronically. You agree that Your electronic signature is the legal equivalent of Your manual signature. Your use of a mobile device to select items, buttons, icons or similar acts constitutes Your signature, acceptance and agreement.

 

d. Withdrawal of Consent

You may withdraw Your consent to receive disclosures in electronic format at any time by notifying Us at info@telegiro.com or (323) 546-9392. However, withdrawal may result in termination of Your registration and preclude Your use of the Services.

21. DISPUTE RESOLUTION

 

a. Binding Arbitration

All claims and disputes between You and Us, including but not limited to any claims relating to this Agreement, are to be settled by binding arbitration in the state of Delaware or another location mutually agreeable to the parties.

 

b. Time Limitations

Unless otherwise required by law:

  • An action relating to a Payment Dispute must commence within six months of initiation of the payment/transaction
  • An action relating to any Commercial Dispute must commence in accordance with the applicable statute of limitations

 

c. Arbitration Procedures

The arbitration proceeding will:

  • Proceed in a location in Kent County, Delaware, selected by the American Arbitration Association ("AAA")
  • Be governed by the Federal Arbitration Act
  • Be conducted by the AAA in accordance with their commercial dispute resolution procedures
  • Apply substantive laws of the state of Delaware

 

YOU ARE GIVING UP YOUR RIGHT TO HAVE A TRIAL BY JURY AND YOUR RIGHT TO HAVE A COURT RESOLVE ANY SUCH DISPUTE.

 

For Digital Wallet Services disputes, additional arbitration provisions may apply as set forth in the Checkbook Terms (Appendix A).

22. GENERAL PROVISIONS

 

a. Governing Law

This Agreement is governed by the laws of the United States and the State of Delaware, without regard to conflicts or choice of laws principles.

 

b. Venue

All actions and proceedings arising from this Agreement must be brought in the State of Delaware, County of Kent, and both You and We waive any right to object to such courts or venue.

 

c. Entire Agreement

This User Agreement, along with Our privacy policy, the Checkbook Terms & Conditions (Appendix A), and any referenced policies, constitutes the entire agreement between You and Us and supersedes all prior agreements and undertakings.

 

d. Modification

We may modify this User Agreement from time to time without notice to You, except as may be required by law. You can review the most current version at any time on Our website. You may terminate Your use of the Services if You do not agree with any modification. If You use the Services after the effective date of an amendment, You shall be deemed to have accepted that amendment.

 

e. Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision will be deemed modified to the minimum extent necessary to make it valid and enforceable, and the rest of this Agreement will not be affected.

 

f. Assignment

You may not transfer or assign this Agreement to any other person without Our prior written consent. We may assign Our obligations to You under this Agreement without Your consent or prior notice.

 

g. No Waiver

Any failure by either party to enforce any right or provision under this Agreement shall not constitute a waiver of such right or provision.

 

h. Force Majeure

If performance is made impossible by circumstances beyond a party's reasonable control (including fire, explosion, power failure, acts of God, war, revolution, civil commotion, acts of public enemies, government actions, labor unrest), such party shall be excused from performance to the extent of such interference.

CHECKBOOK TERMS & CONDITIONS FOR BUSINESSES

These Checkbook Terms & Conditions ("T&Cs" or "Terms") are incorporated by reference into the TeleGiro User Agreement and govern Your use of Digital Wallet Services powered by Checkbook Inc.

 

1. Payment Service Definitions

"Checkbook" or "Service" means the Checkbook API, website, applications, and all services provided through the website or application, as referenced in the Telegiro User Agreement.

"Customer" or "You" means the business or individual using the Checkbook Service through TeleGiro.

"Payor" means an individual who is debited or whose bank account is charged to fund a transaction.

"Payee" or "Recipient" means the individual receiving funds from a transaction.

"Transaction" means payment instructions Customer provides, which may be sent through various Networks depending on the payment method.

"Output" means the information Checkbook returns to Customer about Transaction status and Payor details.

 

2. General Terms

These T&Cs govern the rights and obligations of Customer and Checkbook. Customer acknowledges that Checkbook has entered into agreements with third-party Financial Services Providers (FSPs) and Payment Service Providers (PSPs) to facilitate Customer's Transactions. Customer is required to comply with all applicable Network Rules as defined in these T&Cs. To the extent these T&Cs conflict with any other written agreement between Customer and Checkbook, these T&Cs control.

 

3. Fees and Payment Terms

 

3.1. Fee Structure

Customer agrees to pay the Fees specified in the Order Form or as otherwise agreed upon in writing. Fees are based on Transaction volume and service usage as detailed in Your TeleGiro account settings.

 

3.2. Fee Changes

Checkbook may increase or change its fees upon seventy-five (75) days' written notice to Customer at any Renewal Term. Checkbook reserves the right to make increases based on changes to the Consumer Price Index (CPI) at any time with thirty (30) days' notice. Customer's continued use of the Service after the notice period constitutes acceptance of the new fees.

 

4. Customer Obligations

 

4.1. Accurate Information

Customer represents and warrants that all information provided to Checkbook is accurate, current, and complete. Customer agrees to notify Checkbook immediately of any changes to this information.

 

4.2. Compliance

Customer agrees to comply with all applicable laws, regulations, and Network Rules, including but not limited to anti-money laundering (AML) laws, Know Your Customer (KYC) requirements, and all applicable federal and state payment processing regulations.

 

4.3. Security

Customer is responsible for maintaining the security of its Account credentials and must implement appropriate security measures to prevent unauthorized access. Customer must notify Checkbook immediately of any suspected security breach.

 

5. Prohibited Activities

Customer may not use the Service for any illegal activities or to process payments for:

  • Illegal goods or services
  • Adult content or services
  • Gambling or gaming activities (unless properly licensed)
  • Cryptocurrency or virtual currency (unless explicitly authorized)
  • Money laundering or terrorist financing
  • Transactions involving sanctioned countries or individuals

 

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CHECKBOOK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM DEFECTS.

 

7. Limitation of Liability

 

7.1. Liability Cap

CHECKBOOK'S TOTAL LIABILITY UNDER THESE T&CS IS LIMITED TO THE LESSER OF: (A) THE FEES PAID BY CUSTOMER TO CHECKBOOK IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100) IF NO FEES HAVE BEEN PAID.

 

7.2. Excluded Damages

CHECKBOOK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF REVENUE, REGARDLESS OF WHETHER CHECKBOOK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

8. Term and Termination

 

8.1. Initial Term

The initial term begins on the date Customer accepts these T&Cs and continues for the period specified in the Order Form.

 

8.2. Renewal

Unless either party provides written notice of non-renewal at least sixty (60) days before the end of the current term, these T&Cs will automatically renew for successive one-year periods.

 

8.3. Termination for Cause

Either party may terminate these T&Cs immediately if the other party materially breaches these T&Cs and fails to cure such breach within thirty (30) days of written notice.

 

8.4. Effect of Termination

Upon termination, Customer's access to the Service will cease, and any outstanding fees become immediately due and payable. Checkbook will process pending Transactions but will not accept new Transactions.

 

9. Data Protection and Privacy

Customer acknowledges that Checkbook will process Personal Data in accordance with its Privacy Policy. Customer represents and warrants that it has obtained all necessary consents and authorizations to share Payor information with Checkbook and has provided appropriate privacy notices to Payors.

 

10. Intellectual Property

All intellectual property rights in the Service, including but not limited to software, technology, trademarks, and documentation, remain the exclusive property of Checkbook. Customer receives a limited, non-exclusive, non-transferable license to use the Service solely for its internal business purposes during the term of these T&Cs.

 

11. Indemnification

Customer agrees to indemnify, defend, and hold harmless Checkbook and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) Customer's breach of these T&Cs, (b) Customer's violation of any law or regulation, (c) Customer's violation of any third-party rights, or (d) Customer's use of the Service.

 

12. Dispute Resolution

 

12.1. Arbitration

Any dispute arising from or relating to these T&Cs shall be resolved through binding arbitration administered by JAMS in San Francisco, California, in accordance with its Commercial Arbitration Rules.

 

12.2. Class Action Waiver

Customer agrees to resolve disputes on an individual basis and waives any right to participate in a class action or class-wide arbitration.

 

13. Force Majeure

Neither party shall be liable for any failure to perform its obligations under these T&Cs if such failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war, government actions, internet failures, or labor disputes.

 

14. Network Rules

Customer agrees to comply with all applicable Network Rules, including ACH Operating Rules, Nacha Rules, VISA Network Rules, and Mastercard Network Rules. Checkbook reserves the right to suspend or terminate Service if Customer violates any Network Rules.

 

15. Changes to Service

Checkbook reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to Customer. Checkbook shall not be liable for any modification, suspension, or discontinuation of the Service.

 

16. Assignment

Customer may not assign these T&Cs without Checkbook's prior written consent. Checkbook may assign these T&Cs without Customer's consent. Any attempted assignment in violation of this section is void.

 

17. Governing Law

These T&Cs shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

 

18. Entire Agreement

These T&Cs, together with the TeleGiro User Agreement and any Order Forms, constitute the entire agreement between Customer and Checkbook regarding the Service and supersede all prior agreements and understandings, whether written or oral.

 

19. Severability

If any provision of these T&Cs is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

 

20. Waiver

No waiver of any provision of these T&Cs shall be deemed or shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver unless otherwise expressly provided in writing.

 

21. Notices

All notices under these T&Cs must be in writing and sent to the addresses specified in Customer's Account or as otherwise provided by the parties. Notices sent by email are deemed effective upon receipt.

 

22. Third-Party Beneficiaries

These T&Cs do not create any third-party beneficiary rights except as expressly stated. FSPs and PSPs are intended third-party beneficiaries with respect to provisions related to their services.

 

23. Relationship of Parties

The parties are independent contractors. Nothing in these T&Cs creates a partnership, joint venture, agency, or employment relationship between the parties.

 

24. Audit Rights

Checkbook reserves the right to audit Customer's use of the Service to ensure compliance with these T&Cs and applicable laws. Customer agrees to cooperate with such audits and provide reasonable access to relevant records.

 

25. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and use it solely for purposes of performing under these T&Cs. This obligation survives termination for three (3) years.

 

26. Feedback

If Customer provides Checkbook with any feedback, suggestions, or recommendations regarding the Service, Checkbook may use such feedback without obligation or compensation to Customer.

 

27. Risk Management

Checkbook reserves the right to implement risk management measures, including but not limited to transaction monitoring, velocity limits, and enhanced due diligence. If Checkbook determines that Customer poses unacceptable risk, Checkbook may:

  • Assess additional fees
  • Create a Reserve to cover anticipated chargebacks
  • Delay payouts
  • Suspend or terminate the Service

 

28. Chargeback Assistance

Customer agrees to assist Checkbook when requested to investigate Transactions processed through the Service. Customer permits Checkbook to share chargeback information with Payors and financial institutions. Customer must provide necessary documentation within seven (7) days of Checkbook's request. Failure to assist may result in irreversible chargebacks.

 

29. Transactions

 

29.1. Transaction Processing

Upon release of Transaction information, a Payor will be debited or charged unless the Payor has already initiated the funds transfer. Customer agrees that the Payor's obligation is treated as paid after processing is initiated and the Transaction enters "Completed" status. Customer agrees not to attempt additional collection from the Payor after completion.

 

29.2. Transaction Disputes

Transactions may be disputed by the Payor for the period specified in applicable Network regulations. Disputes resolved in favor of the Payor may result in Transaction reversal.

 

29.3. Transaction Limits

Checkbook reserves the right to limit or restrict Transaction size or volume at any time.

 

30. Payout Schedule

 

30.1. Payout Timing

Checkbook will transfer funds according to the Network's typical schedule, but no more than thirty (30) days after funds settle, subject to any Reserve requirements. If Checkbook cannot transfer funds due to inaccurate information, Checkbook may refund the funds to the Payor.

 

30.2. Settlement Limits

Settlements may be limited or delayed based on perceived risk and Customer's history with Checkbook.

 

30.3. Investigation Holds

Checkbook may defer payout during investigations, disputes, or as required by law or court order.

 

30.4. Chargeback Risk

If Checkbook suspects future chargebacks based on Customer's transaction history, Checkbook may defer payout until the risk of chargeback has passed.

 

31. Reserve

 

31.1. Reserve Requirement

Checkbook may require Customer to maintain a Reserve to secure performance of payment obligations. The decision to require and amount of the Reserve is at Checkbook's sole discretion.

 

31.2. Reserve Funding

If Customer lacks sufficient funds for the Reserve, Checkbook may fund it from any funding source associated with Customer's Account, including funds credited to the Account, funds due under these T&Cs, or funds in Customer's bank account.

 

31.3. Security Interest

Customer grants Checkbook a security interest and lien on all Reserve funds and authorizes withdrawals and debits without prior notice.

 

31.4. Perfection

Customer will execute all documentation required for Checkbook to perfect its security interest in the Reserve.

 

31.5. Reserve Earnings

Customer irrevocably assigns to Checkbook all rights and interests to interest and earnings that accrue in the Reserve.

 

32. Refunds and Returns

Customer agrees to process returns and refunds through its Account in accordance with these T&Cs and Network Rules. Customer must:

  • Maintain a fair return and cancellation policy
  • Disclose return policy to Payors at purchase
  • Not give cash refunds for payments processed through Checkbook unless required by law
  • Not accept cash for preparing refunds through Networks

 

33. E-Sign Disclosure and Consent

 

33.1. Electronic Delivery

By accepting these T&Cs, Customer agrees to receive all Communications electronically.

 

33.2. Delivery Methods

Communications may be sent by email to Customer's registered address, by email link, or by posting at www.checkbook.io where permitted by law.

 

34. Amendments

No modification or amendment to these T&Cs shall be binding unless in a written instrument signed by authorized representatives of both parties.

 

35. Survival

Any provision reasonably necessary to accomplish or enforce the purpose of these T&Cs shall survive termination, including but not limited to indemnification, limitation of liability, confidentiality, and dispute resolution provisions.

 

36. Entire Agreement

These T&Cs constitute the entire agreement between Customer and Checkbook regarding the Service and supersede all prior agreements. If any provision is invalid or unenforceable, it shall be modified to accomplish its objectives to the greatest extent possible, and remaining provisions shall continue in full force. Checkbook's failure to assert any right or provision shall not constitute a waiver.
